1. Acceptance of Terms

By accessing or using Simple Cents ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

2. Description of Service

Simple Cents is a personal finance application that helps you track spending, manage budgets, and organize financial data. The Service allows you to import financial transaction data (via CSV upload) and view it in a structured format.

Simple Cents does not provide financial advice, investment recommendations, or tax guidance. The Service is a tool for organizing your financial information.

3. Account Registration

To use the Service, you must create an account. You are responsible for:

• Providing accurate and complete registration information
• Maintaining the security of your account credentials
• All activity that occurs under your account
• Notifying us immediately of any unauthorized access

4. User Content

You retain ownership of all financial data and content you upload to the Service ("User Content"). By using the Service, you grant us a limited license to store, process, and display your User Content solely for the purpose of providing the Service.

5. Prohibited Uses

You may not use the Service to:

• Violate any applicable law or regulation
• Infringe on the rights of others
• Attempt to gain unauthorized access to our systems or other users' accounts
• Use automated tools to scrape or collect data from the Service
• Reverse engineer, decompile, or disassemble the Service
• Upload malicious code, viruses, or harmful content

6. Service Availability

We strive to maintain the availability of the Service but do not guarantee uninterrupted access. We may modify, suspend, or discontinue the Service (or any part of it) at any time, with or without notice.

7. Intellectual Property

The Service, including its design, code, graphics, logos, and documentation, is owned by Simple Cents and protected by copyright, trademark, and other intellectual property laws. The Simple Cents name, logo, and all related marks are trademarks of Simple Cents.

You may not use our trademarks without prior written consent.

8. Limitation of Liability

To the maximum extent permitted by law:

• The Service is provided "as is" and "as available" without warranties of any kind
• We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service
• Our total liability shall not exceed the amount you paid to us in the 12 months preceding the claim

9. Indemnification

You agree to indemnify and hold harmless Simple Cents, its officers, directors, and employees from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

10. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason at our discretion. Upon termination, your right to use the Service ceases immediately.

11. Governing Law

These Terms are governed by the laws of the Province of Manitoba, Canada, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Manitoba.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Continued use of the Service after changes constitutes acceptance of the revised Terms.

13. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full force and effect.
